AI Supplemental Terms

These terms (“AI Terms”), together with the signed license and services agreement between the parties and any signed order forms or statement of works (collectively, the “Agreement”), govern your use of Strider’s AI offerings, including, without limitation, Spark (collectively, the “AI Features”).

Your use of AI Features is governed by the terms set forth herein; your use of the remainder of the Strider Platform and the Strider Data is governed by the Agreement. Nothing in these AI Terms grants you any additional right or license to use Strider Data beyond what is expressly stated in your Agreement.

To the extent there is any conflict between these AI Terms and the Agreement, these AI Terms will control solely with respect to the subject matter hereof. Strider may modify, suspend, or discontinue its AI Features at any time by posting a notice on our websites, notifying you via the Strider Platform, or by sending you an email.

1. Definitions

“AI Features” means features and capabilities as part of the Strider products that utilize artificial intelligence, machine learning, or similar technologies. 

“Inputs” means all Member Data that is uploaded or submitted to the AI Features by Member.

“Member” means the party using the AI Features that has entered into an Agreement with Strider; also referred to as “you” in these AI Terms. 

“Member Data” means any data provided by Member to Strider through the Strider Platform or as otherwise defined in the Agreement. 

“Outputs” means all content or data that is generated by the AI Features whether in response to an Input or otherwise, such as a AI-produced summary of Strider Data. 

“Spark” is a name used by Strider to refer to AI Features available in the Strider platform. 

“Strider Data” means the data licensed by Strider to Member through the Strider Platform under the terms of the Agreement or as otherwise defined in the Agreement (excluding Member Data). 

“Strider Platform” means the Strider products purchased by you and made available via the Strider web-based platform, as set out under the terms of the Agreement between you and Strider. 

2. Optional Features

Spark Assistant and Spark Summaries are optional features that can be enabled as part of your subscription to the Strider Platform at no additional cost. You acknowledge that your use of Spark is in no way required in order to use the Strider Platform and that you are free to stop using Spark at any time.

3. Data Ownership

a. Inputs. Inputs are considered your Member Data and as between the parties, are owned by you. For the avoidance of doubt, your access to and use of AI Features does not grant Strider any additional right or license to use or share your Member Data in a manner that is inconsistent with your Agreement and Strider will not use Member Data to train any of its AI models, unless otherwise agreed to by the parties in writing. 

b. Outputs. Any Member Data included in the Output is Member Data owned by Member. All other data provided in Outputs is Strider Data and is licensed to Member to use consistent with the terms of your Agreement.

c. As between the parties, Strider owns all right, title, and interest in and to the AI Features, including all intellectual property and proprietary rights therein.

4. Data Handling and Retention

a. Processing and Temporary Storage. Strider will process and store Inputs and Outputs solely to provide the applicable AI Features. Strider will treat Inputs as Member’s confidential information and will not use for any reason except as necessary to provide Spark.

b. Retention. Where an Input is provided to run a query, all Inputs will be stored in a saved search history available only for Member to use and refer back to. Member can delete its search history at any time through the user interface or by requesting deletion from a Strider customer success manager. For certain AI Features, Member can set custom retention schedules for Inputs and Outputs, or use private sessions, where all Inputs and Outputs are deleted at the end of a user session. 

c. Personal Data. Member acknowledges and agrees that if any personal data is included in the Inputs, Member is solely responsible for ensuring that its provision of the Inputs containing personal data complies with all applicable laws and regulations. Strider will not use any Inputs to train any AI models. 

5. Use Restrictions

Member is responsible for the accuracy, quality, and legality of all Inputs and the means by which Member acquires them. Member further agrees that it will not use any AI Features, Outputs, or Strider Data:

a. to develop, train, or improve data sets, foundation models, or other large scale models;

b. to mislead any person or imply that any Outputs generated using the AI Features are unique or solely human generated, or otherwise remove or alter any watermarks or metadata that may be generated with Outputs to identify Outputs as AI-generated; 

c. to generate Outputs to make, or to use as a substantial factor in making, hiring decisions or other consequential decisions, as such term is defined in applicable law, or in any way that would qualify Strider’s AI Features as high-risk (or similar term) under applicable law or otherwise subject Strider to heightened regulatory or compliance requirements; or

d. in a way that violates applicable law or your Agreement, or that otherwise infringes on or violates any third-party rights.

6. Risks and Limitations

Artificial intelligence and machine learning technologies have known and unknown risks and limitations. You acknowledge that you are solely responsible for your use of the AI Features, including, without limitation, evaluating the accuracy and appropriateness of any Outputs, for any decisions that you or your organization make following review of any Outputs, and for training the users on your account on any policies regarding the use of AI that you may have or introduce. By using any AI Features, you acknowledge and agree that:

a. Strider is not responsible for any inaccuracies, incompleteness, or errors in Outputs;

b. Strider is not responsible for any biases or limitations of the underlying algorithms or data;

c. Strider is not responsible for any Outputs that you may find harmful, offensive, or otherwise unsuitable for its intended use; and

d. that Outputs may not be unique and AI Features may generate the same or similar Outputs for any number of users, subject to the limitations herein.

If you encounter any Outputs that are harmful, offensive, or not appropriate, please report it to Support@StriderIntel.com so we can continue to iterate and improve these features.

7. Third-Party Terms

Strider uses the third parties listed in our subprocessor list to host and provide our AI Features, including Spark. We may use additional third parties to provide other features in the future and will update our list of subprocessors accordingly. You understand and agree that each service provider may have their own AI services terms and conditions which apply to your use of the AI Features, of which Strider will give you notice of such terms, as applicable. Agreeing to abide by third-party terms and conditions may be required to access certain AI Features.

8. Disclaimer and Beta Features

a. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN YOUR AGREEMENT, YOU UNDERSTAND AND AGREE THAT ALL AI FEATURES, AND ANY OUTPUTS OBTAINED THROUGH THE USE OF STRIDER’S AI FEATURES, INCLUDING, WITHOUT LIMTIATION, SPARK, ARE PROVIDED ON AN “AS-IS”, “AS AVAILABLE” BASIS, AND AT YOUR SOLE RISK. STRIDER DOES NOT REPRESENT OR WARRANT THAT THE OUTPUTS WILL NOT INCORPORATE THE INTELLECTUAL PROPERTY OF THIRD PARTIES OR THAT ANY OUTPUTS WILL BE COMPLETE OR ACCURATE. STRIDER IS NOT RESPONSIBLE TO INDEMNIFY YOU AGAINST ANY CLAIMS OF INFRINGEMENT MADE BY THIRD PARTIES RELATED TO USE OF THE OUTPUTS. YOU SHOULD NOT RELY ON FACTUAL ASSERTIONS IN OUTPUTS WITHOUT INDEPENDENTLY FACT CHECKING THEIR ACCURACY. NO INFORMATION OR ADVICE, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM STRIDER OR THROUGH ANY AI FEATURES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

b. Beta Period. Strider from time to time releases new AI Features prior to full commercial release (“Beta Materials”). Any Beta Materials will be marked as “Beta” during the beta period. During the beta period, Member’s use of Beta Materials is subject to the following disclaimer. ALL BETA MATERIALS ARE PROVIDED TO MEMBER "AS-IS" WITHOUT ANY WARRANTY AND STRIDER SHALL HAVE NO LIABILITY FOR THE USE OF SUCH BETA MATERIALS, INCLUDING, WITHOUT LIMITATION, FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH ANY OF SUCH BETA MATERIALS, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE. THIS SECTION SUPERSEDES ANY CONFLICTING PROVISION OF THIS AGREEMENT.

9. Service Levels Not Applicable

Notwithstanding anything to the contrary in the Agreement, downtime of any AI Features that result from a failure of a third-party service will not be included in any applicable uptime or other service level calculations.

10. Modifications to AI Terms

Strider may update these AI Terms from time to time. When these changes are made, Strider will make a new copy of the AI terms available at www.StriderIntel.com/Legal. The new AI Terms will apply upon delivery and acceptance by click-through or otherwise.

12. Miscellaneous

Except as modified herein, all other provisions of your Agreement shall continue to apply to your use of the Strider Platform, including the AI Features.
